Engagement terms
These terms apply to file-review work commissioned from LogicGateway Path Advisory, No. 5A Jalan USJ 8/2B, Subang Jaya, Selangor 47610, Malaysia.
The work
We provide independent reading of buy-now-pay-later application files and related origination records. Deliverables are worksheets, a written report, and, if separately commissioned, remediation support. We do not provide statutory audit of financial statements, legal opinions, credit scoring, collections, or customer-facing advice to applicants.
Engagement letter
A short letter confirms the sampling frame, the policy pack you will supply, the timetable, fees, and where files will be read. Work does not start until that letter is accepted in writing (including email) by an authorised person at your organisation.
Your materials
You remain responsible for the lawfulness of sharing application files with us, including any notices to customers required under the Personal Data Protection Act 2010. You warrant that you have authority to grant access. We rely on the policy versions you identify as live in the review window.
Confidentiality
Application files, policy packs, and findings are treated as confidential. We do not use them to market other clients. Subcontractors, if any, are bound to the same standard and named in the letter. Copies used for the review are returned or destroyed on the timetable in the letter.
Independence
We will disclose conflicts we know about before the frame is locked. We may decline work that would require us to originate BNPL, to advocate a particular product, or to reconstruct files so that they appear complete.
Fees
Fees are professional fees plus any agreed travel for on-site reading. They are not a sale of goods. Invoices are payable as stated in the letter, usually a retainer before sampling and the balance on delivery of the report. See the fees and refunds page for cancellation and unused retainers.
Use of the report
The report is for the commissioning organisation’s internal credit, compliance, legal, and governance use. It may be shown to a regulator or a contractual partner if the letter allows. It is not a representation to applicants, merchants, or investors, and it must not be excerpted in a way that changes the grades.
Limitation
Our liability is limited to the fees paid for the engagement, except where Malaysian law does not permit limitation. We are not liable for decisions you take after the report, including whether to re-underwrite, exit a merchant, or change a product.
Governing law
These terms are governed by the laws of Malaysia. Courts of Selangor and Kuala Lumpur have jurisdiction, without limiting any non-excludable rights.
